1 Acceptance of Terms
By accessing our website, placing an order, or using any service provided by YogaBulk ("we", "us", or "our"), you ("the buyer", "you", or "your") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Hefei Yaoshuo Technology Co., Ltd. If you are acting on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
2 Eligibility
Our products and services are exclusively available to verified business customers. By placing an order, you represent and warrant that:
- You are at least 18 years of age
- You are a business entity or an individual acting in a business capacity
- You are purchasing products for resale, branding, or business use — not for personal consumption
- All information you provide during registration or ordering is accurate and complete
3 Orders & Minimum Order Quantity (MOQ)
All orders are subject to the following minimum order quantity requirements:
- Ready-to-ship products: MOQ starts at 30 pieces per style/color combination
- Custom/private label orders: MOQ starts at 100 pieces per style
- OEM/ODM orders: MOQ starts at 300 pieces per style
Orders below MOQ may be accepted on a case-by-case basis with a surcharge. All orders are subject to stock availability at the time of processing. We reserve the right to cancel or modify orders if stock becomes unavailable.
4 Pricing & Currency
- All prices listed on our website are in USD (US Dollars) unless otherwise stated
- Prices are subject to change without prior notice. The price confirmed in your order confirmation is the binding price
- Volume discounts are available and will be communicated in writing via email or WhatsApp
- All prices exclude shipping costs, customs duties, and import taxes
- We reserve the right to correct any pricing errors on the website
5 Payment Methods
We accept the following payment methods:
- T/T Bank Transfer (Wire Transfer): 30–50% deposit upon order confirmation, balance paid before shipment. Most common for wholesale orders.
- PayPal: Available for orders under $5,000 USD. A 3.5% processing fee applies.
- Western Union: Available for first-time buyers on orders under $2,000 USD.
- Credit Card: Via PayPal only. Direct credit card payment is not available.
Orders are only processed after payment confirmation. We do not offer credit terms or net-30 arrangements for first-time buyers.
6 Shipping & Delivery
- Ready-to-ship products: Ship within 3–7 business days after payment confirmation
- Custom/private label orders: Ship within 14–21 business days after sample approval
- Shipping methods: DHL, FedEx, UPS, EMS, or buyer-arranged freight forwarding
- Shipping costs: Calculated based on weight, volume, and destination. Buyer bears all shipping costs
- Transit time: Typically 5–15 business days depending on destination and shipping method
- Customs & duties: Buyer is responsible for all customs clearance, import duties, and local taxes
We provide tracking numbers for all shipments. Delivery dates are estimates only and are not guaranteed. We are not liable for delays caused by carriers, customs, or events beyond our control.
7 Quality & Inspection
- All products are inspected before shipment to ensure they meet our quality standards
- We recommend requesting a pre-shipment inspection (PSI) for orders over $3,000 USD. Additional fees apply
- Buyers have the right to inspect goods upon delivery. Any discrepancy must be reported within 7 days of receipt
- Photographic evidence is required for any quality or quantity dispute
- Minor variations in color, texture, or sizing within industry standards are not considered defects
8 Returns & Refunds
Due to the nature of wholesale transactions and the possibility of custom/private label products, our return policy is limited:
- Non-custom products: Returns accepted within 7 days of delivery for manufacturing defects only. Buyer bears return shipping costs
- Custom/private label products: Not eligible for return unless defective
- Refunds: Issued after returned goods are received and inspected. Processing time: 7–14 business days
- Cancellations: Orders can only be cancelled before shipment. A 10% cancellation fee applies to processed orders
We are not responsible for products that have been used, altered, or damaged after delivery.
9 Customization & Private Label
For orders with custom branding (private label, OEM, ODM):
- All branding designs must be provided by the buyer in print-ready format (AI, PDF, or high-res PNG)
- Samples must be approved in writing before bulk production begins
- Production begins only after written sample approval and remaining payment
- We are not responsible for design errors provided by the buyer
- Logo placement and size are subject to our manufacturing capabilities and sample approval
10 Intellectual Property
- All product designs, patterns, logos, and brand names used by YogaBulk are our intellectual property or are used under valid licensing agreements
- Buyers may not reproduce, copy, or reverse-engineer our designs without written permission
- Buyers retain full ownership of their own brand designs, logos, and trademarks provided for custom orders
- We reserve the right to use order photos for marketing purposes unless the buyer provides written notice to opt out
11 Limitation of Liability
To the maximum extent permitted by law, YogaBulk and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or business interruption arising from your use of our products or services. Our total liability for any claim arising from an order shall not exceed the total amount paid by you for the specific order giving rise to such claim.
12 Dispute Resolution
We strive to resolve all disputes amicably and efficiently. If a dispute cannot be resolved through direct communication:
- Disputes shall first be submitted to mediation in Hefei, Anhui, China
- If mediation fails, disputes shall be submitted to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC)
- The arbitration shall be conducted in English
- The arbitrator's decision is final and binding on both parties
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
13 Changes to These Terms
We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with the "Last updated" date revised. Continued use of our services or placement of orders after any changes constitutes your acceptance of the revised Terms.
